1. About Sila

Sila Health ("Sila," "we," "us," or "our") operates the website silahealthrx.com and provides a platform that connects individuals with licensed independent healthcare providers who offer telehealth consultations.

Sila Health is not a licensed medical provider, hospital, or medical practice. We do not practice medicine and do not provide medical advice, diagnosis, or treatment. All clinical services are provided by independently licensed healthcare providers through our platform partner, CareValidate.

These Terms of Service govern your use of the Sila website, platform, and services. By creating an account or using our services, you agree to these Terms and our Privacy Policy.

2. Eligibility

To use Sila, you must:

• Be at least 18 years of age
• Be a resident of a US state where our provider network operates
• Have the legal capacity to enter into a binding agreement
• Provide accurate and complete information during registration and intake

By using Sila, you represent and warrant that you meet all of the above eligibility requirements.

3. Not Medical Advice

The content on silahealthrx.com — including text, graphics, images, and other material — is for informational purposes only and does not constitute medical advice. The information provided on this website is not a substitute for professional medical advice, diagnosis, or treatment.

Always seek the advice of your physician or other qualified health provider with any questions you may have regarding a medical condition. Never disregard professional medical advice or delay in seeking it because of something you have read on this website.

If you are experiencing a medical emergency, call 911 immediately or go to your nearest emergency room.

4. Prescription Medications

Sila facilitates access to licensed healthcare providers who may, at their sole professional discretion, prescribe FDA-approved GLP-1 medications including Wegovy® (semaglutide) and Zepbound® (tirzepatide).

• Prescription of any medication is entirely at the discretion of the treating provider
• Sila does not guarantee that any medication will be prescribed
• Your $99/month membership fee covers platform access and clinical services — not medication
• Medication costs are separate and paid directly to the dispensing pharmacy
• Medications may not be appropriate for everyone — your provider will evaluate your individual circumstances

5. Subscription and Billing

Membership fee: $99 per month, billed monthly to the payment method on file.

Billing cycle: Your subscription begins on the date you complete enrollment and renews automatically each month on the same date.

Medication costs: Medication is not included in your membership fee. You will pay the pharmacy directly for any prescribed medications. Costs vary by medication, dosage, and pharmacy.

HSA/FSA payments: We accept HSA and FSA debit cards. Eligibility of expenses under your specific HSA/FSA plan is your responsibility to confirm with your plan administrator.

Price changes: We may change our membership price with 30 days' written notice. Your continued subscription after notice constitutes acceptance of the new price.

6. Cancellation Policy

You may cancel your Sila membership at any time. To cancel:

• Email info@silahealthrx.com with your cancellation request
• Cancellations take effect at the end of your current billing cycle
• You will continue to have access to the platform through the end of your paid period
• No refunds are provided for partial months

Cancellation of your Sila membership does not automatically cancel any medication subscriptions or pharmacy arrangements. Contact your pharmacy directly to manage medication orders.

7. Your Responsibilities

By using Sila, you agree to:

• Provide accurate, current, and complete information in your health assessment and profile
• Update your information promptly if it changes
• Use the platform only for lawful purposes and in accordance with these Terms
• Not share your account credentials with others
• Not attempt to access accounts, data, or systems you are not authorized to access
• Notify us immediately of any suspected unauthorized access to your account
• Follow your provider's instructions regarding medication use, dosing, and follow-up

8. Telehealth Consent

By using Sila's clinical services, you acknowledge and consent to receiving healthcare services via telehealth, including asynchronous (non-real-time) consultations. You understand that:

• Telehealth services may not be appropriate for all medical conditions
• Your provider may determine that an in-person visit is necessary
• Technical difficulties may occasionally interrupt telehealth services
• Your health information may be shared with your treating provider and their clinical team as necessary for your care

9. Intellectual Property

The Sila name, logo, website content, and all associated intellectual property are owned by or licensed to Sila Health. You may not use, reproduce, or distribute any Sila intellectual property without our prior written consent.

Wegovy® is a registered trademark of Novo Nordisk. Zepbound® is a registered trademark of Eli Lilly and Company. Sila Health is not affiliated with, sponsored by, or endorsed by Novo Nordisk or Eli Lilly.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SILA HEALTH SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SILA PLATFORM OR SERVICES.

SILA'S TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO SILA IN THE THREE (3) MONTHS PRECEDING THE CLAIM.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability. In such jurisdictions, our liability is limited to the greatest extent permitted by law.

11. Disclaimers

THE SILA PLATFORM AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

Sila does not warrant that the platform will be uninterrupted, error-free, or free from viruses or other harmful components. We do not guarantee any specific health outcomes from use of the platform or any prescribed medications.

12. Indemnification

You agree to indemnify, defend, and hold harmless Sila Health, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with your use of the platform, your violation of these Terms, or your violation of any rights of a third party.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Texas.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website and sending an email notification where appropriate. Your continued use of Sila after changes are posted constitutes your acceptance of the updated Terms.
